Board Development: Exploring the Hallmarks of Effective and Efficient Governance

ENGAGEMENT HOUR: ROLE-ALIKE/JOB-ALIKE SHARING TEAMS

Trustees will begin networking with the consultants and other trustees, previewing the Governance Institute sessions, sharing successes and challenges from their own Board experience, and previewing the issues and topics we will explore further this week.

Morning Session (10:30-12:00)

Policy-based Governance

International schools today cope with challenging environments full of volatility, uncertainty, complexity, and ambiguity. The most prominent tool a Board has in governing the school in the midst of these complexities is the development and monitoring of Policy. "Hot Topics" may be operational challenges for the Head of School, but they also demand clear policy guidance. This session will explore the Board's role in crafting sound policies and strategically monitoring their implementation.

Afternoon Session (1:00-2:00)

Excellent international schools are guided by sound governance and effective leadership. The Board of Trustees and Head of School share that responsibility, each bringing their own perspective to the table. Distinguishing between those roles and working together in the school's best interest is not always simple. This session will address the question, "Who does what?" based on the NAIS Principles of Good Practice for Boards of Trustees.

MORNING SESSION (10:30am-12:00pm)

i. Fiduciary Duties of the Board

The Board of Trustees' second fundamental role is fiduciary oversight (the first being strategic direction), ensuring the health and sustainability of the school. Addressing risks and vulnerabilities – such as cybersecurity and Child Protection issues – as well as opportunities to better fulfill the school's mission are shared responsibilities of the Board and Head. This session will explore the Board's role in meeting its fiduciary obligations.

ii. Board Operations

Next, this session of the Governance Institute will also take a look at how the Board of Trustees functions effectively and efficiently. We will dive into how a Board can cope with challenges such as frequent turnover, interpersonal conflicts, and the different perspectives at play in governing the school.

AFTERNOON SESSION (1:00-2:00pm)

The "vantage point" of the Board of Trustees is uniquely suited for its responsibility to approve the strategic direction of the school. Through strategic decision-making and thoughtful development and monitoring of the three major Plans (Strategic, Financial and Facilities), the Board provides the roadmap for the future. This session will examine how a Board can enhance its strategic capacity during times of shifting priorities and vulnerabilities.
